Academic Background


Sibongile graduated with a Bachelor of Laws (LLB) degree from the University of KwaZulu-Natal (Pietermaritzburg) in June 1999. Before that, he obtained a Bachelor of Arts degree with Honors in International Relations from Rhodes University in 1996. He went on to obtain a Higher Diploma in Tax Law from the University of Cape Town in 2004 as well as the Management Advancement Programme (MAP) qualification from the Wits Business School in 2010.


Sibongile articled with Hofmeyers (which subsequently merged with Cliffe Dekker to be known as Cliffe Dekker Hofmeyr) in Cape Town in 1999. His area of focus was commercial litigation, structuring financial transactions as well as drafting term and revolving loan facility agreements (including syndicated loans) and security documents for corporate clients as well as corporate restructure and debt recovery in respect of defaulting clients. Sibongile was admitted as an attorney of the High Court of South Africa in 2001.


Towards the latter stages of his articles, he focused on the property (both conveyancing and commercial property law). He was admitted as a Conveyancer in 2002. He practiced as a professional assistant with Hofmeyers before joining Edward Nathan Sonnenberg’s (ENS) in 2003 in their commercial property department advising on the structuring of commercial property deals for blue-chip clients as well as the development of sectional title schemes for high net worth clients. Sibongile later joined the commercial department in the firm focusing on mergers and acquisitions and due diligence investigations. In relation to these transactions, he gained experience in drafting sale agreements, competition law, employment law, corporate law and other relevant legislation pertaining to transactions of this nature. Sibongile joined Standard Bank as a Legal Manager in the Credit Risk division in 2007.


He managed the lending portfolio and assisted with the negotiations, drafting, and conclusion of vanilla and non-vanilla transactions. He managed a portfolio with huge exposures for corporate clients as well as parastatals and municipalities. In 2008 Sibongile was appointed as a Legal Advisor at Land Bank and managed all Land Bank legal related work. In 2009 he was appointed Manager: Corporate Commercial in the legal department of Land Bank. His main focus was Banking and Finance, Debt Recovery, Business Rescue and Debt Restructures, Due Diligence Investigations and Mergers and Acquisitions.

Academic Background


Mande graduated with Bachelor of Social Science, Bachelor of Laws (LLB) degrees and Post Graduate Diploma in Marketing and Supply Chain Management from the University of KwaZulu-Natal (Pietermaritzburg) in 1998.

He went on to obtain a Programme for Management Development (PMD) from GIBS in 2010 as well as a Certificate in Property Investment & Practice from the Wits Business School in 2013.


Mande was admitted as an Attorney of the High Court of South Africa in January 2001 and practiced as a litigation attorney involved in defended and undefended civil actions in both Magistrates and High Court, drafted legal opinions and advised clients on a variety of legal issues including High Court commercial litigation. In addition, he obtained experience in the following areas of law: personal injury and motor vehicle accident claims, drafting of wills and administration of deceased estates, insolvency law, criminal law, matrimonial law, administration orders and debt collections.


He also practiced law as an Associate with Cliffe Dekker Hofmeyr Attorneys (Cape Town Office), in the Commercial and Corporate department furnishing advice in general commercial, tax and corporate law, corporate governance, empowerment transactions (BEE), the negotiation of, drafting of and commenting on various legal documents and types of agreements including: shareholders agreements, sale of business agreements, sale of shares agreements, commercial lease agreements, JV agreements etc.


Thereafter, he joined numerous JSE Listed Companies like Sanlam Limited, AVI Limited and Rebosis Property Fund Limited as a Legal Advisor and Company Secretary performing various company secretarial, legal, compliance and statutory administration functions and was responsible for ensuring ongoing advice to the board (and it’s sub-committees) and compliance in respect of all JSE Listings Requirements, King IV, Companies Act and all other relevant legislation and governance issues. Mande currently serves as a non-executive director of Billion Group, a multi award winning property development and investment company. His professional experience is quite diverse and includes commercial and corporate law, property development and investment, corporate governance, risk and compliance management.



Academic Background


Mr. Masibonge Mzwakali (Masi) graduated with BA Law and Bachelor of Laws (LLB) degrees from the University of Cape Town in 2001 and 2003, respectively. He subsequently obtained his post-graduate Diploma in Corporate Law from the University of Johannesburg.


Masi is the Director of our Corporate and Commercial practice and the head of our Legal Audit Department. He has extensive experience and indebt knowledge in conducting legal audits having been involved in the past few years in large scale audit and review engagements as an external independent legal expert. 


Masi commenced his professional career as an associate at Bowman Gilfillan Attorneys (now Bowmans), where he gained experience in corporate and commercial law.  He also served as a Corporate Affairs Manager for Sub Saharan Africa at Phillip Morris International for over six years. During that time, he was responsible for a wide range of global commercial and regulatory aspects of the business within the organisation. He is a practicing attorney of the Gauteng Division of the High Court of South Africa, having been admitted and enrolled in 2008. 


Masi has more than 10 years of experience in corporate and commercial law, having acted for domestic and multinational clients in diverse sectors, including telecommunications, provident funds, state-owned entities, FMCG in both listed and unlisted environments. His main areas of expertise include Corporate and Commercial Law, Audit and Forensic Investigations; Data Protection and Cybersecurity and Information Technology Law; Procurement Law; M & A transactions; Securitisations; Corporate Structuring and Restructuring; and Regulatory Compliance. 


Masi also has substantial experience acting for the public sector (including the national, provincial and local government, as well as state-owned companies) in transactions and regulatory matters across various sectors, such as transport, energy, agriculture and forestry.
